Costs in the first year
Incorporation is only the start. Budget for these in the first year:
- First auditor: the board appoints the first auditor within 30 days of incorporation.
- INC-20A: declaration of commencement of business within 180 days, after shareholders deposit their subscription money in the company's bank account.
- Bank account and GST, if your turnover or business type requires GST.
- Annual compliance: accounts, audit, AOC-4, MGT-7A and ITR-6 every year, plus board meetings and minutes.
Our Company Annual Compliance package covers the yearly filings in one fee, so there are no surprises.
How to keep the cost down
- Start with modest authorised capital. ₹1 lakh is enough for most small companies, and it keeps fees and stamp duty low. You can increase it later.
- Pick a unique name. Rejected names mean refiling. We check names against existing companies and trademarks first.
- Get documents right the first time. Matching names on PAN, Aadhaar and bank proof avoid resubmission.
How long it takes
Usually 10–15 working days: about 2 days for DSCs, 2–4 days for name approval, and 5–8 days for the incorporation certificate after filing, depending on MCA processing.
Frequently asked questions
Is there a minimum capital to start a Private Limited Company?
No minimum paid-up capital is required by law. Most small companies start with ₹1 lakh authorised capital.
How many directors do I need?
At least two directors and two shareholders. The same people can be both, and at least one director must be resident in India.
Can I use my home address as the registered office?
Yes. You need the electricity bill of the property and a NOC from the owner if it is not in your name.
Is GST registration mandatory for a new company?
No. GST is needed only when turnover crosses the limit or the business type requires it, such as inter-state supply of goods.
Should I choose a Private Limited Company or an LLP?
A company suits businesses planning to raise investment or grow quickly. An LLP has lighter compliance and suits professional and family businesses. We help you choose before you register.
